The animation is very cute. ^_^ You did a really nice job on palette selection for the skin, too. Palettes are something a lot of pixel artists struggle with, so you should be proud!

If you're one who isn't looking for C&C, disregard the next paragraph and tell me so, and I won't bother you with it again.

1. Purely desaturated colors (pure blacks, whites, and grays) are something you generally want to avoid in pixel art. They flatten the sprite. So unless you're going for an NES old-school look, you should use a different darkest color.

2. Use a lighter outline around lighter colors (unless, again, going for an old-school look).

3. The palette on the shirt needs way more contrast. I wasn't even aware you were using more than two colors until I zoomed in in Photoshop. Make sure all your colors are visibly distinct at 1x zoom. Just because you can see them when zoomed in and working doesn't mean people will when viewing the finished product!

4. The palette on the hat has a bit too much contrast, methinks. At least for the blue. Better too much than too little, generally. It's a hard balance to strike.

5. Clothing (and hair) casts shadows. There should be a shadow under the hat and the tie. Where depends on where you light source is.

6. Dithering is nice, but use solid shades, as well. Dithering is typically used to provide a transition between two colors on your palette or to give something texture. Either way, there should be some solid areas of shadow. The dithering on the skin looks especially odd, since skin is fairly smooth. I'd look at some good professional sprites, like the Nippon Ichi or Breath of Fire III sprites, for examples of shading.

Whew. By now you might be feeling a bit down or overwhelmed, but don't be! It really is a good sprite. ^_^
